Terms and Condition

Definitions

“Agreement” means these Terms & Conditions, any executed Order Forms, and Addenda.

“Services” refers to all healthcare support we provide—insurance verification, claim submission, revenue cycle management, EHR integration, payment posting, and reconciliation.

“Client” denotes the healthcare provider, practice, or facility receiving Services.

“Client Data” includes all Protected Health Information (PHI) and other data supplied by Client under HIPAA and relevant privacy laws.

“HIPAA”, “GDPR”, and “PIPEDA” refer to the U.S. Health Insurance Portability and Accountability Act, the EU General Data Protection Regulation, and Canada’s Personal Information Protection and Electronic Documents Act, respectively.

Scope of Services

Affordable MD will:


Process and file claims with payers according to industrystandard timelines.

Verify patient insurance eligibility before submission to reduce denials.

Analyze and manage claim denials, including rootcause correction and resubmission.

Integrate seamlessly with Client’s EHR to eliminate manual data entry errors.

Post all payments and reconcile them against outstanding balances.

Client Obligations

Clients must:

Supply accurate patient and insurance records promptly.

Maintain compliance with applicable healthcare regulations and coding standards.

Approve fee schedules and address billing inquiries without undue delay.

Fees & Payment Terms

Invoicing: Affordable MD issues monthly invoices in arrears.

Payment Terms: Net 10 business days; late payments incur interest at 1.5% per month.

Taxes: Client is responsible for applicable taxes.

Confidentiality & Data Protection

Both parties will uphold HIPAA, GDPR, and PIPEDA safeguards, implementing administrative, technical, and physical protections for all PHI.

Affordable MD employs endtoend encryption, multifactor authentication, and regular penetration testing.

Staff undergo continuous privacytraining programs to ensure compliance.

Intellectual Property

Each party retains ownership of its preexisting intellectual property.

Affordable MD grants Client a nonexclusive, royaltyfree license to use deliverables strictly for internal practice operations.

Limitation of Liability

Neither party’s aggregate liability shall exceed the total fees paid by Client in the prior 12 months.

In no event will either party be liable for indirect, special, incidental, or consequential damages.

Idemnification

Client will indemnify and hold Affordable MD harmless from claims arising out of Client’s negligence or malpractice.

Affordable MD will indemnify Client for breaches of confidentiality or datasecurity obligations.

Term & Termination

Term: One year from Effective Date, renewing automatically for oneyear periods unless either party gives 30 days’ notice.

Termination for Cause: Immediate upon material breach if not cured within 15 days of notice.

Amendments

Affordable MD may modify these Terms; changes take effect upon posting. Continued use of Services signifies acceptance.

Governing Law & Dispute Resolution

Governed by the laws of [Your Jurisdiction], without regard to conflictoflaw rules.

Disputes resolved by binding arbitration under AAA rules in [City], or in courts at Affordable MD’s election.

Miscellaneous

Entire Agreement: This document and its exhibits constitute the full agreement.

Severability: If a provision is unenforceable, the remainder remains in effect.

Assignment: Neither party may assign without written consent, except to an affiliate.
